§ 1 Scope and Subject Matter
These general terms and conditions apply to all sales contracts for the delivery of goods concluded between edgeworkssupply.com and a customer (“Customer”) via the online store accessible at edgeworkssupply.com. A Customer is any natural person who enters into the legal transaction for purposes that are predominantly outside their trade, business, or profession (“Consumer”). Deviating terms and conditions of the Customer shall not apply unless expressly agreed to in writing.
§ 2 Offer, Conclusion of Contract, Offer Documents
- The presentation of products on our website constitutes a non-binding invitation to the Customer to submit an offer. The Customer’s order represents a binding contractual offer. We may accept this offer within two weeks by sending an order confirmation or by dispatching the goods.
- The contract text, including these terms and conditions, will be stored by us. After placing your order, you will receive an order confirmation via email. The contract is concluded when we send a separate acceptance email or ship the goods.
- Product descriptions, images, specifications regarding weight, dimensions, and materials, as well as the assortment, are provided to the best of our knowledge. Slight deviations that are reasonable and customary within the trade are permissible. We reserve the right to make changes to the product range.
- The sale of certain items, including but not limited to knives, tools, and equipment with specific functionalities, is subject to legal restrictions. It is the Customer’s sole responsibility to verify and comply with all applicable federal, state, and local laws concerning the purchase, ownership, possession, and use of any product ordered. We sell only to eligible persons of legal age. By placing an order, the Customer represents and warrants that they meet all legal requirements.
- Orders and deliveries are generally possible only within the continental United States. For inquiries regarding international shipping, please contact us prior to ordering.
- The contract language is English.
- Standard Ordering Procedure: Select items → Add to cart → Review cart contents → Proceed to checkout → Enter billing and shipping details → Select payment method → Review and confirm order → Submit order.
§ 3 Terms of Prices and Payment
- The prices listed on the website at the time of order are final and include any applicable sales tax. Prices are subject to change. Shipping and handling costs are listed separately during checkout and are added to the total order value.
- Invoices are due for payment immediately upon receipt, unless another payment term has been explicitly agreed upon in writing. The Customer shall be in default 10 days after the due date. We reserve the right to charge statutory default interest.
- Payments shall be applied first to the oldest debt, then to interest and costs. The Customer may only set off claims that are undisputed or have been legally established.
- Shipping Costs: Standard shipping within the continental U.S. is free on orders over a specified value. Details on current shipping rates and free shipping thresholds are provided at checkout. Expedited shipping options are available for an additional fee.
- Available Payment Methods: We offer various secure payment options, including major credit cards (Visa, Mastercard, American Express), PayPal, and other electronic payment processors. Detailed rules for each payment method apply as communicated during the checkout process. Payment processing for credit cards is handled by our certified payment service providers. Your full card details are never stored on our servers.
- To prevent fraud and ensure secure transactions, we may perform standard credit checks or use third-party services to verify the information provided with an order. By placing an order, you consent to such verification checks.
§ 4 Shipping and Fulfillment
- We will select an appropriate carrier and service level for shipping unless a specific method is requested and paid for by the Customer. The risk of loss and title for the products pass to you upon our delivery of the items to the carrier.
- Items listed as “In Stock” are typically processed and shipped within 1-3 business days. Any stated delivery or shipment dates are estimates only and are not guaranteed. Delivery times may be extended during promotional periods or times of high demand.
- Compliance with any delivery date is contingent upon the timely fulfillment of all Customer obligations (e.g., providing necessary information, approving custom work). We are not liable for delays in delivery caused by force majeure events, including but not limited to acts of God, war, civil unrest, labor disputes, or supply chain disruptions.
§ 5 Returns and Refunds
Return Policy for Consumers
We want you to be completely satisfied with your purchase. If you are not satisfied, you may return most new, unopened, and unused items within 30 days of delivery for a full refund of the product price. Some products may have different return policies or requirements, which will be noted on the product page.
- Return Period: You have 30 days from the date you receive the item to initiate a return.
- Return Condition: Items must be returned in their original condition: unused, with all original tags, packaging, and accessories included.
- Return Process: To initiate a return, please contact our customer service to obtain a Return Merchandise Authorization (RMA) number and instructions. Returns sent without an RMA may be refused or delayed. You are responsible for the cost of return shipping unless the return is due to our error or a defective product.
- Refunds: Once your return is received and inspected, we will notify you of the approval or rejection of your refund. If approved, your refund will be processed to your original method of payment within a reasonable period. Please note that original shipping costs are non-refundable.
- Non-Returnable Items: Certain items cannot be returned for hygiene, safety, or customization reasons, including but not limited to:
- Customized, personalized, or made-to-order products.
- Products with broken seals on software, multimedia, or protective packaging.
- Gift cards.
§ 6 Warranty
- We provide a warranty that the goods are free from material defects and conform to the agreed specifications at the time of risk transfer (§4). This warranty does not cover defects caused by normal wear and tear, improper use, negligent handling, accidents, modifications, or improper maintenance by the Customer.
- Obligation to Inspect: The Customer must inspect the goods promptly upon delivery for completeness and for any obvious defects or transport damage. Any discrepancies or damages must be reported to us immediately.
- The statutory limitation period for warranty claims is two years from delivery for new goods. This does not affect any claims for damages based on fault, which are governed by §8.
- Any manufacturer warranties that may apply are provided directly by the manufacturer. Our warranty is in addition to, and does not affect, your statutory rights.
§ 7 Right of Retention (Reservation of Title)
- We retain full legal and beneficial title to the goods sold until we have received payment in full for all amounts owed by the Customer under the relevant contract and any other ongoing business relationship.
- Until title passes, the Customer must store the goods separately from other items and ensure they are clearly identified as our property.
§ 8 Limitation of Liability
- Our liability for damages, regardless of the legal grounds, shall be limited as follows.
- We shall be fully liable for intent and gross negligence, for injury to life, body, or health, under the terms of product liability law, and for breaches of fundamental contractual obligations (cardinal duties).
- For the breach of fundamental contractual obligations due to slight negligence, our liability shall be limited to the amount of damages foreseeable and typical for this type of contract at the time of contract conclusion.
- Any further liability is excluded.
- The aforementioned limitations of liability shall also apply to our vicarious agents and legal representatives.
§ 9 Applicable Law
These Terms & Conditions and all contractual relationships between us and the Customer shall be governed by and construed in accordance with the laws of the State in which our principal place of business is located, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
§ 10 Dispute Resolution
We are committed to resolving any disputes amicably. Please contact our customer service team first with any complaints.
Online Dispute Resolution (ODR): The European Commission provides a platform for online dispute resolution (ODR), which can be accessed. We are not obligated and not willing to participate in a dispute resolution procedure before a consumer arbitration board.
Governing Law for Disputes: Any disputes arising out of or relating to these Terms, or the sale of our products, shall be subject to the exclusive jurisdiction of the courts of the State in which our principal place of business is located.
